These Terms & Conditions ("Terms") govern your use of services provided by Anaya Ventures ("we," "us," "our"), including website design and development, hosting coordination, and Facebook & Instagram advertising management ("Services"). By engaging our Services, you ("Client," "you") agree to these Terms in full.
We design, build, and maintain websites for Client based on information, content, and approvals provided by Client. Client is responsible for the accuracy, legality, and rights ownership of all content (text, images, logos, testimonials, and other materials) they provide for use on their website.
We do not guarantee specific business outcomes (traffic, leads, sales, or search engine rankings) from website design services alone. A website is a tool; results depend on many factors outside our control.
Client represents that they own or have the right to use all content they provide, and agrees to indemnify and hold Anaya Ventures harmless from any claim (including but not limited to copyright, trademark, defamation, or false advertising claims) arising from that content's use on their website.
Websites and related systems may rely on third-party platforms (e.g., GoHighLevel, domain registrars, hosting providers). We are not responsible for outages, policy changes, or service interruptions caused by these third parties.
Anaya Ventures provides paid advertising campaign management on Meta (Facebook & Instagram) and, where applicable, Google Ads. This includes campaign strategy, ad creative, audience targeting, and ongoing optimization.
Client pays Anaya Ventures a monthly management fee for our services. Separately, Client funds their own ad spend directly to Meta and/or Google via Client's own ad account and payment method. Anaya Ventures never collects, holds, or marks up ad spend — it is paid by Client directly to the advertising platform and is non-refundable by Anaya Ventures under any circumstance, including under the guarantee described in Section 4.
Except as expressly set out in the No-Loss Guarantee (Section 4), Anaya Ventures makes no guarantee of specific leads, sales, return on ad spend, or other outcomes. Advertising platform algorithms, market conditions, and Client's own responsiveness to leads all affect results.
Client is responsible for ensuring their business, offers, and landing pages comply with Meta and Google advertising policies. Anaya Ventures is not liable for ad account restrictions, disapprovals, or bans resulting from Client's business practices or non-compliant content Client requires be used.
Any figures shown on our website or in our marketing materials regarding potential leads, cost per lead, jobs booked, revenue generated, or return on ad spend — including the "What the Math Looks Like" table and similar projections — are estimates only, based on general industry benchmarks for home services and trades advertising. They are illustrative, not a forecast, prediction, or promise of any specific result for Client's business. Actual results depend on Client's market, offer, pricing, follow-up speed, and many other factors outside Anaya Ventures' control. These estimates are not part of, and do not expand, the No-Loss Guarantee in Section 4 — the guarantee's only triggers are the tracked-click and tracked-lead thresholds defined there.
Clients enrolled in an advertising management plan (currently: the Premium plan) are eligible for the following guarantee on their first month of ad campaign management, subject to the conditions below:
Important — how the "or" works: reaching either threshold — clicks or leads, whichever happens first — satisfies the guarantee, and Client's second month is billed normally. Both thresholds do not need to be missed simultaneously for month two to be waived; conversely, hitting just one of the two means month two is billed as normal, even if the other threshold is not reached. In practice, the tracked-clicks threshold is expected to be reached through normal campaign delivery in nearly every case, since it depends primarily on ad spend and platform delivery rather than on Client's landing page, offer, or market conditions.
A "tracked click" means a link click to Client's website, landing page, or contact form, as recorded in the ad platform's own reporting. A "tracked lead" means a form submission, phone call, or direct message generated through the ad campaign, as recorded in Anaya Ventures' ad platform reporting and/or call tracking system.
Services are billed monthly in advance. Client authorizes recurring charges to their payment method on file. Late or failed payments may result in pausing of services, including website hosting and active ad campaigns.
Services are provided on a month-to-month basis unless otherwise agreed in writing. Either party may cancel with 30 days' written notice. Anaya Ventures does not issue refunds of fees already paid. The only exception to standard billing is the second-month fee waiver described in Section 4, which applies automatically when its conditions are met — it is a credit against a future month, not a refund of a past payment.
To the maximum extent permitted by law, Anaya Ventures' total liability arising out of or related to these Terms or the Services shall not exceed the total fees paid by Client to Anaya Ventures in the three (3) months preceding the claim. Anaya Ventures is not liable for indirect, incidental, consequential, or special damages, including lost profits or lost business opportunities.
Client agrees to indemnify, defend, and hold harmless Anaya Ventures, its owners, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) Client's content or business practices; (b) Client's breach of these Terms; or (c) Client's use of the website or advertising campaigns in violation of applicable law or platform policy.
These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in New Mexico.
Anaya Ventures may update these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
